By accessing or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf.

1. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use HappyIO. By using the Platform, you confirm that you meet these requirements.

2. Accounts & Registration

• To access certain features, you must create an account and provide accurate information.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• Notify us immediately of any unauthorized use of your account.

3. Use of the Platform

You agree to use HappyIO only in compliance with these Terms and applicable laws. You may not:

• Copy, modify, or distribute any part of the Platform without authorization.

• Reverse-engineer or attempt to gain unauthorized access to the Platform.

• Post content that is unlawful, harmful, or violates intellectual property rights.

• Use the Platform to harass, spam, or interfere with other users.

• We reserve the right to suspend or terminate accounts that violate these rules.

4. Content Ownership & License

• Your Content: You retain ownership of the content (posts, comments, feedback, votes) you submit. By posting, you grant HappyIO a worldwide, non-exclusive, royalty-free license to host, display, and share your content within the Platform as intended.

• Our Content: All rights in the Platform and its features (excluding your content) belong to HappyIO. You may not use our trademarks, logos, or branding without permission.

5. Subscription & Payment

• Certain features require a paid subscription.

• Prices and payment terms are provided at the time of subscription.

• Payments are processed by secure third-party providers. We do not store credit card details.

• Subscriptions automatically renew unless canceled in accordance with the plan’s terms.

6. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or misuse the Platform. Upon termination, your right to use the Platform ends immediately.

7. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” We do not guarantee that the Platform will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, HappyIO disclaims all warranties, whether express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, HappyIO and its affiliates shall not be liable for:

• Any indirect, incidental, or consequential damages

• Any loss of profits, data, or goodwill

• Any damages exceeding the amount paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless HappyIO and its affiliates from any claims, liabilities, damages, or expenses arising out of your use of the Platform or violation of these Terms.

10. Changes to Terms

We may update these Terms from time to time. The updated Terms will be posted with a new effective date. If changes are significant, we will notify you by email or within the Platform. Continued use after changes constitutes acceptance.
